The Company is focused on copper and gold exploration at its 100% owned Peñas Negras Project in the Vicuña Belt. It has similar geological characteristics to other deposits and a group of porphyry and epithermal targets have been identified in the project.

Vancouver, British Columbia – (May 23, 2024) – Sendero Resources Corp. (TSXV: SEND) (the “Company” or “Sendero”) is pleased to announce the filing of a prospectus supplement in a non-brokered offering consisting of up to 37,500,000 units (the “Units”) at $0.08 per Unit for gross receipts up to $3,000,000 (the “Offer”).

Each Unit will be comprised of one common share of the Company (a “Common Share”) and one-half of one common share purchase warrant of the Company (a “Warrant”).

Each whole Warrant will entitle the holder to purchase one Common Share (a “Warrant Share”) at an exercise price of $0.12 per Warrant Share for a period of 24 months from the date of issuance.

The Offering is expected to close on or about June 7, 2024 and is subject to certain conditions, including, but not limited to, receipt of all necessary approvals, including compliance with applicable TSX Venture Exchange requirements.

The Company may pay finders’ fees and issue warrants to eligible finders in accordance with applicable securities laws and the policies of the TSX Venture Exchange.

The Company intends to use the proceeds from the Offering for the continued exploration, maintenance and development of the Company’s properties and for general working capital and corporate purposes.

The Units are qualified under a shelf prospectus supplement (the “Prospectus Supplement”) dated May 23, 2024, filed with the securities commissions of British Columbia and Alberta in accordance with National Instrument 44-101 Prospectus Distributions Short Form and National Instrument 44-102 Shelf Layouts.

The Offer will be made solely by means of the Prospectus Supplement and the accompanying prospectus dated May 17, 2024 (the “Prospectus”). The Company also has an option agreement to obtain an 80% interest in eight awarded mining concessions covering 91.7 km2 adjacent to the East of the Peñas Negras Project.
