Bogotá. The parent company of the Avianca Group, Investment Vehicle 1 Limitedannounced its intention to file a draft registration statement with the U.S. Securities and Exchange Commission (SEC) for a proposed initial public offering (IPO) of its common stock in the U.S. market.

The filing of the draft and the timing of the offering will be subject to market conditions and other SEC review considerations.

The company stated in a statement that this announcement does not constitute an offer to sell or the solicitation of an offer to buy securities. In addition, no offer, solicitation or sale will be made in any jurisdiction in which such shares would be unlawful prior to registration or qualification under the securities laws of such jurisdiction.

The Colombian airline had already listed its shares on the Colombian Stock Exchange (BVC) but, due to its financial situation, it had to carry out a dissolution of the shares and then use those resources in its reorganization plan.

The company added that any offer, solicitation or offer to purchase, or any sale of securities will be made in accordance with the registration requirements of the U.S. Securities Act of 1933, as amended, and other applicable securities laws, ensuring clarity and accuracy of information without inducing confusion or misinterpretation.
